By accessing or using the Leyoxa website (leyoxa.com) or any Leyoxa software product (including Smilelink, Emergclinic, and the DDSMarketing Voice Agent), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.
Leyoxa provides AI-powered clinic management software, voice scheduling agents, mobile patient applications, and related technology services to dental and medical clinics. Specific features and capabilities are described in individual product agreements.
You must be at least 18 years old and have authority to bind your clinic or organization to these Terms. By using our services, you represent and warrant that you meet these requirements.
If you create an account with Leyoxa, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

Our software products are designed to support HIPAA and PHIPA compliance. Clinics using Leyoxa to process Protected Health Information (PHI) must execute a Business Associate Agreement (BAA) with Leyoxa before going live. Responsibility for regulatory compliance within your clinic remains with you as the covered entity.
All content, software, trademarks, and materials on leyoxa.com and within Leyoxa products are the exclusive property of Leyoxa LLC or its licensors. Nothing in these Terms grants you a right to use Leyoxa's brand, marks, or proprietary technology beyond the limited license to use our services as described herein.
Pricing for Leyoxa products is agreed upon in individual service agreements. All fees are due as specified in your agreement. Leyoxa reserves the right to suspend access for non-payment after reasonable notice.
Our services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose or uninterrupted availability. Leyoxa does not provide medical advice; all clinical decisions remain the responsibility of licensed healthcare professionals.
To the maximum extent permitted by applicable law, Leyoxa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services. Our total aggregate liability shall not exceed the fees paid by you to Leyoxa in the twelve months preceding the claim.
You agree to indemnify and hold harmless Leyoxa LLC, its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of our services, your violation of these Terms, or your infringement of any third-party rights.
Either party may terminate the service relationship in accordance with the applicable service agreement. Leyoxa may suspend or terminate access immediately if you materially breach these Terms or applicable law.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
We may update these Terms from time to time. We will notify active clients by email and update the "Last updated" date. Continued use of our services after changes constitutes acceptance.
